These Terms and Conditions govern the use of services provided by Bijak Counsel ("we", "us", "our"), a professional services firm registered in Malaysia. By engaging our services or using our website, you agree to be bound by these terms. Please read them carefully before proceeding.

1. Definitions

In these Terms and Conditions, the following definitions apply:

  • "Agreement" means these Terms and Conditions together with any engagement letter or service proposal issued by Bijak Counsel.
  • "Client" or "you" refers to any individual, company, or other legal entity that engages or seeks to engage Bijak Counsel's services.
  • "Services" means the intellectual property advisory and filing services described on our website and in any engagement letter, including trademark filing, patent prosecution assistance, and IP portfolio audits.
  • "MyIPO" means the Intellectual Property Corporation of Malaysia.
  • "Content" refers to all materials, documents, reports, and deliverables prepared by Bijak Counsel in connection with any engagement.
  • "Website" means the website operated by Bijak Counsel at bijakcoounes.live.

2. Acceptance of Terms

By accessing our website, submitting an enquiry form, or instructing us to commence services, you confirm that:

  • You are at least 18 years of age or have the legal capacity to enter a binding agreement under Malaysian law.
  • If acting on behalf of a company, you have authority to bind that company to these terms.
  • You have read and understood these Terms and Conditions in full.

These terms apply to all interactions with Bijak Counsel, including consultations, formal engagements, and use of the website.

3. Services Description

Bijak Counsel provides intellectual property advisory services in Malaysia, principally comprising:

  • Trademark Filing & Registration — prior-art searches, classification advisory, application drafting, and prosecution correspondence with MyIPO under the Trademarks Act 2019.
  • Patent Prosecution Assistance — prior-art landscape analysis, claim drafting, and prosecution correspondence for applications filed with MyIPO or via the PCT route under the Patents Act 1983.
  • IP Portfolio Strategy & Audit — comprehensive review of existing intellectual property holdings, gap analysis, renewal risk assessment, and prioritised action planning.

Service availability is subject to our capacity at the relevant time. We reserve the right to decline any engagement at our absolute discretion.

4. Engagement and Client Responsibilities

A formal engagement commences upon receipt of a signed engagement letter and required payment. Prior to that point, any advice provided is preliminary in nature and does not constitute a formal legal opinion.

You agree to:

  • Provide accurate and complete information relevant to your matter in a timely manner.
  • Notify us promptly of any changes that may affect your matter.
  • Review documents and correspondence sent to you and respond within agreed timeframes.
  • Not instruct us to act in a manner that is unlawful or contrary to MyIPO requirements.
  • Keep your contact information current for the duration of the engagement.

5. Fees and Payment

Our professional fees are quoted in Malaysian Ringgit (MYR) and are set out in the engagement letter or service proposal provided to you. All fees are exclusive of MyIPO official fees and third-party disbursements, which are charged separately at cost.

Payment terms are as specified in the engagement letter. We reserve the right to suspend work if invoices remain unpaid beyond the agreed due date. Fees paid are non-refundable once work on the relevant stage has commenced, except as required by Malaysian consumer protection law.

Starting investment levels as shown on our website are indicative only. Final fees depend on the scope and complexity of the matter.

6. Intellectual Property Rights

All work product, reports, memoranda, and other materials prepared by Bijak Counsel in connection with an engagement remain our intellectual property until all fees relating to that engagement have been paid in full. Upon full payment, such materials are assigned to the client for the purposes of the relevant matter.

Our website content, including text, design, and structure, is the property of Bijak Counsel. You may not reproduce, distribute, or adapt any part of the website without our prior written consent.

7. Confidentiality

We maintain strict professional confidentiality in respect of all client information and materials disclosed to us in connection with an engagement, subject to any obligations imposed by Malaysian law or court order. Our confidentiality obligations survive the termination of any engagement.

By engaging our services, you consent to us retaining copies of correspondence and documents for our records for a minimum of seven (7) years following the conclusion of an engagement.

8. No Guarantee of Outcome

Intellectual property registration and prosecution involve regulatory processes outside our control. We make no representation or guarantee that any application will be accepted, that any patent will be granted, or that any specific outcome will be achieved. Our obligation is to provide competent professional services; we are not responsible for decisions made by MyIPO or any third party.

Advice provided by Bijak Counsel is based on Malaysian law as at the date of instruction. We are not responsible for changes in law or MyIPO practice that occur after advice is given unless we have been specifically engaged to review the impact of such changes.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, our total aggregate liability to you arising from any engagement shall not exceed the total professional fees paid by you for the specific service giving rise to the claim.

We shall not be liable for any indirect, consequential, special, or incidental loss, including loss of revenue, profits, business opportunities, or goodwill, howsoever arising.

Nothing in these terms limits our liability for fraud, death, or personal injury caused by our negligence.

10. Termination

Either party may terminate an engagement by giving reasonable written notice. In the event of termination, fees are payable for all work completed up to the date of termination.

We reserve the right to terminate an engagement with immediate effect if you breach any of these terms, fail to provide required information, or instruct us to act in a manner that is unlawful or contrary to our professional obligations.

11. Third-Party Services

Our services may involve coordination with foreign associate agents for regional filings. We select associates with reasonable care but are not liable for the acts or omissions of those third parties.

Our website may contain links to third-party resources. We have no control over those resources and are not responsible for their content or availability.

12. Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from or related to these terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before commencing legal proceedings, either party may request informal resolution by writing to the other at the contact details provided. We will endeavour to respond to such requests within 14 business days.

13. Severability and Waiver

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force. A failure by either party to enforce any provision shall not constitute a waiver of that provision or any other right.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. The revised version will be posted on our website with an updated effective date. Continued use of our services following any such update constitutes acceptance of the revised terms.
